Terms and Conditions for Buyers (with Email Disclaimer)

1. Definitions

Buyer: You, the company or individual entering into this agreement with Elegancespark Innovation Pvt Ltd (“EleganceSpark”) for the procurement of electronic components.

EleganceSpark: Elegancespark Innovation Pvt Ltd, a company incorporated in India.

Services: The services provided by EleganceSpark, including International Procurement Optimization (IPO), sourcing of electronic components, communication with international suppliers, and quality assurance.

Components: Electronic components procured by EleganceSpark on behalf of the Buyer.

Order: A formal request by Buyer for EleganceSpark to procure Components.

2. Acceptance

These Terms and Conditions (“Terms”) govern the procurement of electronic components by EleganceSpark on behalf of the Buyer. By placing an Order via email to elegancesparkinnovations@gmail.com, Buyer agrees to be bound by these Terms. If Buyer disagrees with any part of the Terms, Buyer may not place an Order.

3. Email Disclaimer

Please be advised: EleganceSpark is not responsible for any fake entities in the market who utilize the EleganceSpark name or the name of any Elegance executive to provide any type of service. To ensure you are communicating directly with EleganceSpark, all legitimate Orders and correspondence must be submitted to our official email address: elegancesparkinnovations@gmail.com.

4. Orders

• Orders must be submitted in writing via email to elegancesparkinnovations@gmail.com.
• Orders must clearly specify the desired Components, including part numbers, quantities, and any other relevant details.
• EleganceSpark will review the Order and provide Buyer with a written confirmation outlining the estimated timeline, costs, and payment terms.
• Buyer’s confirmation of the written order constitutes acceptance of these Terms and the specific details outlined in the confirmation.

5. Pricing and Payment

• EleganceSpark will provide pricing for Services and Components in the Order confirmation.
• Payment for the Order will be due 100% in advance before dispatch of the Components, as explicitly stated in the Proposal or sales quotation.
• Buyer agrees to pay EleganceSpark the agreed-upon price within the specified timeframe outlined in the confirmation (e.g., within 5 business days of receiving the confirmation).
• Payment methods will be specified in the confirmation and may include bank transfer or secure online payment options.
• Late payments may be subject to late fees as outlined in the confirmation.

6. Sourcing and Procurement

• EleganceSpark will use commercially reasonable efforts to source the Components specified in the Order.
• EleganceSpark reserves the right to utilize various international suppliers to fulfill Buyer’s needs.
• Buyer acknowledges that procurement timelines for certain Components, especially obsolete parts, may be extended. EleganceSpark will keep Buyer informed of any delays.

7. Quality Assurance

• EleganceSpark will perform industry-standard quality checks on procured Components before shipment to Buyer.

8. Warranties and Disclaimers

• EleganceSpark warrants that Services will be performed with reasonable care and skill.
• Warranties for the procured Components will be solely as specified in the relevant Order confirmation and may vary depending on the component and information provided by the manufacturer. EleganceSpark will provide Buyer with any available information on warranties or guarantees associated with the Components.
• Buyer acknowledges that the use of electronic components can involve inherent risks and assumes all responsibility for the use and application of the procured Components, considering any limitations outlined in the warranty information.

9. Limitation of Liability

• EleganceSpark shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the procurement of Components.
• EleganceSpark’s total liability under these Terms shall not exceed the amount paid by Buyer for the Order.

10. Termination

• EleganceSpark may terminate this agreement and cease further procurement efforts for an Order upon written notice to Buyer in the event of Buyer’s material breach of these Terms or non-payment.
• Buyer may terminate this agreement for an Order upon written notice to EleganceSpark, but Buyer shall be liable for all Services rendered and expenses incurred by EleganceSpark up to the date of termination.

11. Confidentiality

• Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Order.
• This obligation shall not apply to information that is already publicly known or becomes public knowledge through no fault of the receiving party.

12. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of India.

13. Entire Agreement

These Terms constitute the entire agreement between Buyer and EleganceSpark with respect to the procurement of electronic components and supersede all prior or contemporaneous communications, representations, or agreement
